These Terms of Service (“Terms”) govern your use of saltspec.com and the advisory services provided by Saltspec Advisory (“Saltspec,” “we,” “us”), based in Los Angeles, California. By using our website or purchasing our services, you agree to these Terms.
Saltspec provides feasibility assessments, space evaluations, and advisory services for restaurant and hospitality spaces, including the Free Assessment, Initial Feasibility Review, Full Feasibility Review, Buildout Roadmap, Owner's Representation, and Portfolio Advisory. The scope of each service is described on our pricing page or in a written engagement agreement.
Our deliverables are advisory and informational in nature. They are based on the information you provide, publicly available data, and our professional judgment. They are not architectural, engineering, legal, accounting, tax, or investment advice, and they do not replace inspections, surveys, or assessments by licensed professionals. You should engage licensed architects, engineers, contractors, attorneys, and accountants as appropriate before making binding commitments.
A feasibility assessment is a professional opinion at a point in time. We do not guarantee permit approvals, regulatory compliance, construction costs, timelines, lease outcomes, or the commercial success of any venture. Conditions, codes, and costs change, and final decisions — including whether to sign a lease or proceed with a buildout — are yours alone.
You agree to provide accurate and complete information about the space and your plans. Our assessments depend on what you share with us; material omissions or inaccuracies may affect our conclusions.
Fees are stated on our pricing page or in your engagement agreement and are payable in advance unless otherwise agreed. All Saltspec services are one-off, project-based engagements. There are no subscriptions and no customer accounts. Within 30 days of a completed paid review, the full amount you paid applies as a credit toward the next tier up (for example, an Initial Feasibility Review fee credits toward a Full Feasibility Review, and a Full Feasibility Review fee credits toward a Buildout Roadmap). If a deliverable does not cover what we committed to in the engagement scope, we will revise it; if we still cannot make it right, you will receive a full refund. Outside of this revision-and-refund process, fees are otherwise non-refundable once work has begun, except where required by law.
Reports and deliverables are prepared for your use in evaluating the specific space and project. You may share them with your lenders, partners, and professional advisors. They may not be resold or republished commercially without our written consent. We retain ownership of our methodologies, templates, and frameworks.
Everything you share with us about your project, finances, and negotiations is treated as confidential. We sign a mutual non-disclosure agreement (NDA) for every engagement on request, and we will not disclose your information to third parties except as needed to deliver the services or as required by law.
To the maximum extent permitted by law, Saltspec’s total liability arising out of or relating to the services or these Terms will not exceed the fees you paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost business opportunities.
You agree to indemnify Saltspec against claims arising from your use of our deliverables in violation of these Terms or from materially inaccurate information you provided.
You may not misuse the website, attempt to gain unauthorized access, or use our content to build competing services. Website content is provided “as is” without warranties of any kind.
These Terms are governed by the laws of the State of California. Any dispute will be resolved in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction.
We may update these Terms from time to time. The “Last updated” date reflects the current version. Continued use of the website or services after changes constitutes acceptance.
